Q. I am getting ready to start a business and I like the anonymity available with a Wyoming S-corp.
A: Whether you form the entity in DE, NV or WY, you will still have to file in PA as foreign entity and will be visible. However, if you want anonymity, then use a paid registered agent and have a service or law firm file the paperwork for you in PA. This will provide the anonymity you are seeking. For example, you could use CT Corporation to file the paperwork and act as the registered agent.
Q. What do I do when you become aware someone is using your registered trademark in another state?
A: First you should check to see when the other business started using the name. If they used it prior to your trademark registration being complete in 2021, then that other business will have rights to use that name in their marketing area. To clarify, they will not have rights nationally, your registered federal trademark gives you that right except where there is another business using the same or similar name prior to your federal registration. Other than a business that was using the name prior to your trademark registration, you should have priority rights to the name. If you learn that the other business just started using the name after your trademark was registered, then you should retain counsel to immediately send a “cease and desist” letter letting the owner know that they have violated your federal trademark rights and need to stop immediately. Q. Establishment LLC
A: It means that any LLC property (business assets, such as computers, phone systems, POS, real estate, vehicles, etc.) are owned by the LLC and not owned by any of the owners/members of the LLC personally. These business assets are the property of the LLC and not property of the owners of the LLC.
