Caroline is an attorney and strategic consultant who has advised developing companies, entrepreneurs, investors, CXO's and directors on all three coasts and abroad. She guides strategic planning, development, risk assessment and turnaround. This preventive guidance reduces the frequency and costs of transactional disputes, operational crises, and litigation. She helps clients identify opportunities as well as risks, guiding business model and business plan construction and reconstruction, product development, organizational structuring, resolution of personnel/talent matters, and initiation of strategic alliances. In addition to helping companies manage and avoid operational and functional risk, she helps developing companies raise capital, develop commercial contracts, hone presentations, and rationalize the business model and team. Her clients have interests in the U.S., Europe, Asia and Latin America.

Caroline offers dispute and crisis solutions, including internal and external business conciliation, neutral evaluation, guided negotiation, and mediation. She realigns splintered management and guides turnaround.

She offers legal guidance to American and foreign clients in (US) intellectual property, executive employment, executive immigration, environmental hazards, and real property development and usage (DC, Texas and federal matters).

Caroline has worked with several private equity firms, including Thot Capital of New York and Cumulous capital of London. She advised on the development of the UT Health Science Center Biotech Incubator at its outset and was Cornerstone Sponsor and client advisor of the Houston Technology Center. She has taken leadership roles on nonprofit boards and advises directors of nonprofit and for profit boards. She is a member of the NACD, ACG, ABA, AIPLA and MIT Enterprise Forum. Mr. Johnson is a co-founder of PCT Law Group and serves as its Managing Member.

Mr. Johnson has extensive corporate and employment law experience. His practice includes counseling and advising businesses at all stages of the growth cycle on a broad range of matters including corporate formation and organization, mergers and acquisitions, business contracts, employment agreements, employment policies, joint ventures, and corporate transactions. Mr. Johnson has served as "General Counsel" for several small and mid-sized companies.

Mr. Johnson also maintains a litigation practice, which focuses on complex commercial disputes, business torts, and employment issues. Additionally, Mr. Johnson is a Professorial Lecturer in Law at the George Washington University Law School, where he teaches transactional drafting to upper-level students

Mr. Green is General Counsel, P.C.'s founder and managing partner. Merritt serves as an outside general counsel to numerous clients providing guidance on legal issues confronting businesses and non-profit organizations ranging from contracts and agreements to the structuring of corporate transactions and business formations. Merritt also represents businesses in all aspects of labor and employment law. Merritt serves as a Contributing Editor to the American Bar Association's Treatise on Labor Law, The Developing Labor Law, and is a frequent lecturer on labor and employment law issues for human resource professionals and business executives. Merritt is a member of the Greater McLean Chamber of Commerce Board of Directors, serves as the Chair for the General Counsel Committee for the American Small Business Coalition and the Intelligent Community, and is a strong supporter of local charities through the General Counsel, P.C. Charity Golf Tournament. Merritt received his J.D., cum laude, from the Syracuse University College of Law (1997). At Syracuse, he was an Associate Editor of the Syracuse Law Review and was Editor-in-Chief of The Labor Lawyer, the publication of the American Bar Association Labor and Employment Law Section. He was a College of Law Scholar and was inducted into the Justinian Honorary Law Society. Merritt received his undergraduate degree from Middlebury College (1992) and spent a year as a student of Wadham College, Oxford University. Prior to opening General Counsel, P.C., Merritt was an associate with Venable LLP.
