Jay has represented and advised investors of public companies in shareholder derivative actions and complex class action litigation for over a decade. He helped secure millions of dollars in financial recovery and corporate governance reforms. He investigated and litigated claims involving such issues as accounting fraud, executive compensation, board entrenchment, board elections, corporate takeovers, inadequate internal controls, and violations of the False Claim Act, the Foreign Corrupt Practices Act, anti-money laundering laws, and vehicular and aeronautical safety regulations.
Since 2017, Jay has focused his legal practice on helping entrepreneurs successfully form and operate their businesses, representing clients in contract or business disputes, including litigating and settling complex multi-state litigation and film ownership rights. He advises clients in nonprofit, food, health, and entertainment industries as to such matters as business formation, governance, contract negotiations, intellectual property, and regulatory compliance.
When not lawyering, Jay manages his media production business. Currently he and his wife are co-producing a documentary series on restoring mental health titled “Unbroken Minds” (www.unbrokenminds.com). For this project, Jay and Wendy traveled across the country filming over 150 personal testimonies and expert interviews.
Jay earned a law degree in 2008 from Pepperdine University School of Law, a B.S. in Business Accounting in 2005 from La Sierra University.

As a general rule, the 1st Amendment of the U.S. Constitution allows a person to share about their stories and experiences. So there is a bubble of protected free speech within which state or federal regulator cannot lawfully prevent a person from sharing about what stocks they are investing in and why.
