Venus Caruso is a Florida-based attorney who has been practicing law for nearly two decades. Her professional experience includes serving as the lead in-house legal counsel for two different companies spanning over 7 years. Prior to that, Venus was a Partner at the national law firm of Akerman where she represented large and mid-size companies in complex commercial litigation cases, including breach of contract, fraud, healthcare fraud and abuse, and other tort-based claims arising from business disputes and practices. At the same time, Venus counseled business owners, small and large, as well as professionals on various legal matters, including business contracts, employment contracts, company policy and procedures, compliance, data privacy and protection, healthcare regulatory compliance including HIPAA, healthcare business agreements, and risk mitigation and management strategies, among others.
Venus now runs her own law firm assisting companies and individuals doing business in Florida with a focus on commercial contracts, employment agreements and company policies, healthcare agreements and HIPAA compliance. She also offers outside general counsel services to companies who need dedicated legal support on an ongoing or as-needed basis.

- Q. Can I share transaction details w/a business broker/consultant without breaching a business contract? and with a lawyer?
- A: If the confidentiality clause in your asset purchase agreement does not contain any exceptions for professionals who have a need-to-know the confidential information, or other like language, then sharing the confidential information with your business broker is not advisable as that would be deemed a breach. Typically, confidentiality clauses in asset purchase agreements carve out exceptions for parties who have a need to know the information but not all contracts are the same. I recommend re-reviewing your agreement for any such language. As for sharing the information with a lawyer for legal advice, that's fine.
