I work with a variety of mainly privately held businesses from inception through corporate life to sale or other disposition. I help businesses and their principals in formation issues, shareholder and LLC operating agreements, employment agreements, private placements and mergers and acquisitions including stock and asset purchase agreements, letters of intent, term sheets and '33 Act and '34 Act compliance. I also act as outside general counsel reviewing and negotiating license agreements, service agreements, outsourcing agreements and other contractual matters.
I also represent insurance carriers as monitoring counsel in connection with complex securities class actions and shareholder derivative actions involving directors and officers of insured corporations. I have analyzed hundreds of securities and derivative actions and related SEC administrative and civil actions and advised carriers of potential liability and negotiated settlements with plaintiffs and defendants directly and through mediation.
